1.  Run Forest prep on the DC holding the Schema Master role, and domain prep on the DC   holding the Infrastructure Master role.
2.  Replace current DCs with Windows Server 2008 R2.
3.  Promote those up to 2008 R2 DCs.
4.  Transfer the roles over to one of the new 2008 servers.
5.  Replace the remaining 2003 DCs with new 2008 R2 DCs.
6.  Raise the function levels.

It would be good to audit the AD after the upgrade. An auditor will need to have a clear understanding of what the security settings on the Domain Controllers and Active Directory means. We offer a course on the subject which can be found at http://www.ultimatewindowssecurity.com/itaudit/training/aaad/default.aspx

Hi,

What kind of upgrade (in place, new dc's, new domains in forest...). I think you must read about "what is new on 2008r2" as audit security settings... There are different aspects that have been improved and you must audit.
